Students must complete the following sixty credit points (60CP) of subjects.
Foundations of Enterprise Governance is a compulsory subject in the Master of Laws in Enterprise Governance offered by the Faculty of Law. The subject will examine key elements of the governance framework used by boards and those who report to, and work closely with, boards. Students will be provided with an understanding of how the legal framework interacts with strategy, risk, finance and compliance, together with contemporary issues affecting board performance.

This subject will examine the principles and rules regulating ethical enterprise decision making, and the consequences of non-compliance. Students will learn about the different ethical approaches to analysing ethics issues; the relationship between ethical analyses of business problems and legal, risk management, and commercial analyses of business issues; and strategies to help make decisions consistent with one’s own moral framework. The subject will use practical examples taken from different functional business areas and a range of industry sectors to shed light on the above.

The subject will examine the social and legal responsibilities of the enterprise towards others. Students will learn about the enterprise’s responsibilities towards both humans (including employees, customers and the community) and non-humans (including natural resources, animals and the environment).
Read moreStrategy, Risk and Compliance: A Legal Framework is a compulsory subject in the Master of Laws in Enterprise Governance offered by the Faculty of Law. The subject examines the regulatory and operational frameworks associated with strategy, risk and compliance; how Boards understand, influence and monitor these frameworks; and popular strategic development and implementation models. Students will learn how to evaluate a Risk Management system and review Risk Appetite Statements; learn about assurance mapping, risk framework rollout and risk mitigation strategies; and become familiar with the three lines of defence. They will learn about Compliance Management Systems; how compliance and performance are different; and how Boards monitor compliance while influencing performance.

The subject will examine the laws regulating information technology, privacy and cyber-security as they apply to enterprises as well as the consequences of non-compliance. Students will learn about the key features and legal challenges associated with new technologies, learn how to assess and manage privacy risks, and appreciate the importance of cyber-security to a successful enterprise.

Students without a previous law qualification must complete two foundation law subjects. Students with a prior undergraduate law qualification will receive an exemption for these two foundation law subjects. Students with a prior postgraduate law qualification will receive credit for these two foundation law subjects.
Students enrolled in the Master of Laws in Enterprise Governance without a previous law qualification are required to complete the two foundation law subjects in this structure.
