Description
Practical Company and Commercial Law is an elective subject in postgraduate programs offered by the Faculty of Law in which undergraduate students may be permitted to enrol. This subject will examine a number of important legal areas typically dealt with by company/commercial legal practitioners (other than mergers and acquisitions). Students will learn about the practical methods for achieving the following key transactions and the key documentation involved in those transactions: corporate investments; options to subscribe for shares; financing through convertible loan stock; issue of warrants; joint ventures; partnerships and limited partnerships.

Learning outcomes
1. Outline the role of lawyers in selected company and commercial transactions, e.g. investments, share subscriptions, shareholders agreements and joint ventures. 2. Demonstrate an understanding of deal terms and structuring arrangements, and an ability to apply that understanding. 3. Show a basic knowledge of the core documentation involved in progressing and completing transactions and an ability to apply that knowledge. 4. To describe, apply and evaluate key areas for negotiation. 5. To evaluate risks and apply methods of risk avoidance.

Restrictions: ? | Must have completed a minimum 120 Credit Points of LAWS subjects AND have a minimum average of 65% in LAWS subjects. Students must be admitted into a Bachelor law degree or Bachelor of Laws combined degree or be an approved Law Study Abroad OR Law exchange student. This subject is not available as a general elective. To be eligible for enrolment, the subject must be specified in the students’ program structure. |
